Terms & Conditions

- Definition: In these Terms & Conditions, "Company" refers to Madi International. "Customer" means the purchaser of Products from the Company. "Products" are the purchased items, and an "Order" is a Customer's request for Products.

- Purview: Placing an Order for Products signifies complete and unconditional agreement to these Terms & Conditions. Irrespective of any previous agreement in place, the supply of Products by the Company to the Customer is exclusively governed by these Terms & Conditions. Even if the Customer uses a standard purchase order with different terms, these Terms prevail. These Terms replace any prior ones from the Company. Any changes to these Terms require prior written approval from the Company's senior management.

- Order Placement: All Orders are subject to the Company's discretion for approval. Product availability influences Order acceptance. The Company can remove products from the Order and inform the Customer about the withdrawn items. For significantly large or non-standard Orders, the Company may decline delivery and will promptly notify the Customer. Orders will align with the Company's packaging standards. Adjustments may be made for non-standard quantities. The Company is not liable for indirect losses from Order refusal, suspension, or cancellation, regardless of acceptance status. This applies to negligence or breach of contract by the Company.

- Delivery Terms: The agreed terms on the Invoice determine the delivery conditions. These terms are confirmed by the Customer and pre-approved by the Company. Quoted delivery terms are indicative, and any delays don't permit the Customer to cancel the Order, reject Products, seek compensation, or delay payment.

- Receiving Process: The Company ensures delivery of Products adhering to the agreed Terms & Conditions with the Customer. After receiving the Products, the Customer must inspect and report any visible discrepancies, defects, or damages upon receiving the Order. If no report is made upon receiving the Order, the Products are considered accepted, and no claims will be entertained. If such issues are reported, verified, and acknowledged, the Company can, at its discretion, either replace the faulty items at its cost or provide a credit note for their value. If excess Products are delivered, the Customer must either return them or accept the excess items and be billed accordingly.

- Exchanges: The Company does not have a refund or return policy. Exchange of Products is only allowed if previously agreed upon in writing by the Company’s management. Only Products in a condition suitable for resale can be exchanged. If a product is deemed obsolete, we reserve the right to decline its exchange, as part of our commitment to upholding the reputation and image of our Products. It's important to clarify that this provision doesn't obligate the Company to return any Products from the Customer.

- Prices: The prices of the products are fixed by the price-list communicated by the company. The prices are exclusive from VAT or any other applicable tax. Each Order will be invoiced at the price applicable on the day the Order was placed. The Company reserves the right to revise the price list without prior notification and the issuance of a new price list will cancel and replace all previous pricelists. The Company reserves the right to propose its customers special offers or promotions valid exclusively for a limited period of time.

- Payment Terms: Payment terms are decided by the Company, unless otherwise agreed before collaboration begins. The Customer must pay in the currency specified on the invoice's payment terms through a bank transfer to the designated account. Alternative payment conditions need prior company approval. Changes to payment terms require mutual consent. The Customer cannot offset owed amounts. The Company can cancel deliveries or demand advance payment for non-compliance.

- Distribution: The Customer recognizes the standing and significance of the products and their associated trademarks. The Customer agrees not to engage in actions that could adversely impact this standing or significance. Unless otherwise approved by the Company, the Customer agrees not to re-sell the Products to other retailers or third parties that do not adhere to the standards specified and communicated by the Company.

- E-commerce Policy: The Customer agrees to only list the Products on their own website or social media platform, after getting written approval from the Company. The Customer agrees to strictly not sell the Products online on third party marketplaces or e-commerce websites.

- Export Restriction: Under no circumstances may the Customer sell or export Products to other countries or to customers engaged in international trade, unless with prior written consent from the Company.

- Point of Sales Materials (POSM): Promotional materials, counters, display units and any other equipment provided by the Company to the Customer for free, remain the exclusive property of the Company. The Customer must follow usage guidelines and maintain these materials, and must return them upon request by the Company. Changes or removal of materials need company consent. If materials are relocated without Company approval, the Customer must compensate the Company for the book value of the material. The Customer is responsible for accurate representation of Products' visuals and information provided by the Company.

- Storage: The Customer is accountable for storing products in locations between 4 to 26 degrees Celsius with humidity not exceeding 50%. Warehouses & storage locations must meet safety standards for storing hazardous materials as per local regulations. Regular inventory rotation is the Customer's responsibility. The Company is not responsible for losses or damages due to improper storage of Products.

- Alteration Policy: Under no circumstances shall the Customer modify, damage, or alter the original presentation and packaging of the Products or POSM.

- Risk & Ownership: Upon delivery, the Customer assumes all risk associated with the Products. Ownership of the Products stays with the Company until the Customer pays all outstanding amounts or sells the Products as part of their usual business, whichever comes first. This provision does not grant the Customer the right to return Products or postpone payment.

- Insurance: The Customer must maintain insurance, paid for by them, to adequately cover the Products and POSM. This insurance should also address risks linked to improper storage or handling. When requested, the Customer must provide a certificate of insurance showing the coverage amount.

- Confidentiality: The Customer is obliged to maintain the confidentiality of all Company-related information, encompassing details about Products, promotions, and trade terms.

- Consumer Claim: The Customer must quickly inform the company of any consumer claims and collaborate if the Company seeks assistance.

- Force Majeure: Should the Company be hindered from fulfilling its obligations due to external factors beyond its control (such as strikes, supply issues, accidents, or political events, etc.), it may either temporarily suspend or, at its discretion, cancel the affected Order. In such cases, the Company isn't responsible for any indirect or consequential loss, including loss of profits or contracts, arising from the suspension or cancellation.

- Termination: If the Customer fails to meet these Terms & Conditions or breaches any other obligations to the Company, or if certain events like receivership, winding-up resolutions, or court orders occur, the Company reserves the right to cancel, suspend, or terminate orders. This may also involve ceasing further deliveries and accessing the Customer's premises to protect or retrieve Products that are still owned by the Company.
